Terms of Service
These Terms of Service ("Terms") govern your use of the Replylo application and the azaria-group.com website (collectively, the "Service") operated by Azaria ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Description of Service
Replylo is a Shopify application that automates customer support email responses. The Service classifies incoming customer emails using AI, retrieves order data from your Shopify store, and generates responses based on pre-configured templates that you define. The Service is provided as-is and is continuously improved.
2. Eligibility
You must be at least 18 years old and have the legal authority to bind the business entity on whose behalf you are using the Service. By using the Service, you represent and warrant that you meet these requirements.
3. Account Registration
To use Replylo, you must install the application through the Shopify App Store and authorize access to your Shopify store data and email account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4. Subscription and Pricing
- Free Trial: New users receive a 7-day free trial with full access to their selected plan.
- Base Plan (€9.99/month): Includes up to 100 automated email responses per month, Spanish and English language support, and a fixed 80% confidence threshold.
- Pro Plan (€19.99/month): Includes unlimited automated email responses, all language support, customizable confidence threshold (60–95%), and priority support.
Prices are in Euros and are subject to change with 30 days' prior notice. Billing is handled through Shopify's billing system.
5. Your Responsibilities
As a user of the Service, you agree to:
- Provide accurate and up-to-date information about your store and business.
- Ensure that your response templates comply with applicable laws, including consumer protection regulations.
- Review and approve automated responses as appropriate for your business context.
- Maintain appropriate authorization to process customer data through the Service.
- Not use the Service for any unlawful purpose or in violation of any applicable regulations.
6. Data Processing
By using the Service, you authorize us to process data on your behalf as a Data Processor under the GDPR. You remain the Data Controller for all customer personal data processed through the Service. This includes:
- Customer email addresses and email content received by your store.
- Customer order data retrieved from your Shopify store.
- Any personal data contained in the automated responses sent on your behalf.
We process this data solely to provide the Service and in accordance with our Privacy Policy. We do not use your customer data for any purpose other than providing the Service.
7. Data Processing Agreement (DPA)
By accepting these Terms, you also agree to the following data processing terms, which constitute a Data Processing Agreement under Article 28 of the GDPR:
- We process personal data only on your documented instructions.
- We ensure that persons authorized to process personal data have committed themselves to confidentiality.
- We implement appropriate technical and organizational security measures.
- We do not engage sub-processors without your prior authorization. Our current sub-processors include Google Cloud Platform (infrastructure) and Google Vertex AI (email classification).
- We assist you in responding to data subject access requests.
- We delete or return all personal data upon termination of the Service, at your choice.
- We make available to you all information necessary to demonstrate compliance with these obligations.
8. Intellectual Property
The Service, including its design, code, algorithms, and documentation, is the intellectual property of Azaria. You retain all rights to your data, templates, and content. You grant us a limited license to use your data solely for the purpose of providing the Service.
9. Limitations of the Service
- Replylo uses AI-based classification which may occasionally misclassify emails. We recommend using the review mode feature, especially during initial setup.
- The Service relies on the availability of Shopify's API and your email provider. We are not responsible for downtime or errors caused by third-party services.
- Automated responses are generated from your templates and Shopify data. You are responsible for ensuring the accuracy and appropriateness of your templates.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" without warranties of any kind, express or implied.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Our total liability for any claims related to the Service shall not exceed the total amount you have paid us in the 12 months preceding the claim.
11. Termination
You may cancel your subscription at any time by uninstalling the Replylo app from your Shopify store. Upon termination:
- Your access to the Service will end immediately.
- We will retain your data for 30 days to allow for re-activation, after which it will be permanently deleted.
- You may request immediate deletion of all your data by contacting us.
We may terminate or suspend your account if you violate these Terms, with notice unless the violation is severe.
12. Modifications to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of Spain. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain, without prejudice to your rights under applicable consumer protection laws.
